Agreement to These Terms

These Terms of Service (“Terms”) govern your access to and use of the NH Agency website, client portal, booking system, account features, forms, communications, and other digital services provided by NH Agency (“NH Agency,” “we,” “us,” or “our”).

By accessing or using our website or Services, creating an account, scheduling a meeting, or otherwise using functionality provided by NH Agency, you agree to be bound by these Terms and acknowledge our Privacy Policy and other policies referenced in these Terms.

If you do not agree with these Terms, you should not create an account or use portions of the Services that require acceptance of these Terms.

About NH Agency

NH Agency is a digital agency based in the Republic of Panama.

Depending on the engagement, NH Agency may provide services including digital marketing strategy, advertising campaign management, content creation and editing, social media services, websites and landing pages, branding, automation, lead-generation systems, digital consulting, and related services.

Our website and client portal are designed to support communication, project administration, meetings, billing information, service activity, and other aspects of the relationship between NH Agency and its clients or prospects.

Eligibility

You must have the legal capacity required under the laws applicable to you to enter into these Terms and use the Services.

If you are using NH Agency on behalf of a business, organization, or other legal entity, you represent that you have authority to act on behalf of that entity and to bind it where legally applicable.

The Services are primarily intended for businesses, professionals, entrepreneurs, clients, prospects, and other adults.

Accounts

Certain NH Agency features may require you to create or access an account.

You agree to provide information that is accurate and reasonably current and to maintain the security of your account credentials.

You are responsible for activity performed through your account unless that activity results from a security failure attributable to NH Agency or another circumstance for which applicable law provides otherwise.

You must not knowingly share account access with unauthorized persons or attempt to access another user’s account.

If you believe your account has been compromised, you should notify NH Agency promptly.

Access Codes

Certain client accounts may require an NH Agency access code before registration or account activation.

Access codes are intended only for the client or authorized person to whom they are provided.

An access code may be limited to a particular client, email address, account, or project and may become invalid after use.

Attempting to obtain, distribute, sell, manipulate, or use an access code without authorization is prohibited.

Google Sign-In

NH Agency may allow users to register or authenticate using Google Sign-In.

When you use Google authentication, you are also interacting with services operated by Google and subject to Google’s applicable terms and policies.

Google authentication does not change your obligations under these Terms.

Using Google Sign-In does not automatically provide consent for NH Agency to send promotional marketing communications or push notifications.

Client Portal

NH Agency may provide clients with access to a private portal containing information relevant to their relationship with NH Agency.

Depending on the services being provided, the portal may display meetings, project dates, invoices, billing records, advertising campaign information, landing-page information, project status, documents, links, communications, or other service-related information.

The portal is intended as an administrative and informational tool.

Information displayed in the portal does not replace a signed proposal, contract, statement of work, invoice, or other formal agreement where one exists.

If information displayed in the portal conflicts with a separately executed written agreement between NH Agency and a client, the executed agreement will control with respect to the conflicting subject matter unless applicable law requires otherwise.

Separate Client Agreements

Many NH Agency services are customized.

Before beginning a paid engagement, NH Agency and the client may enter into a proposal, service agreement, contract, statement of work, quotation, invoice, or other written agreement describing matters such as scope, deliverables, payment, advertising budget, timelines, responsibilities, revisions, termination, intellectual property, or other project-specific conditions.

Those project-specific documents form a separate contractual relationship between NH Agency and the client.

Where a project-specific agreement conflicts with these Terms, the project-specific agreement controls for the relevant service or project.

These Terms continue to govern general use of the NH Agency website, accounts, portal, booking system, and functionality unless the applicable agreement expressly provides otherwise.

Artificial Intelligence and Automated Tools

NH Agency may use artificial intelligence, automation, and AI-assisted technologies to support certain business and service-related activities, including research, content development, editing, design, analysis, workflow automation, and operational processes.

Where personal information is processed through an AI-assisted or automated service, NH Agency seeks to limit the information shared to what is reasonably necessary for the relevant purpose and to use providers and safeguards appropriate to the nature of the information and applicable legal requirements.

NH Agency does not currently use solely automated decision-making through its Services to make decisions about individuals that produce legal effects or similarly significant effects.


Booking Meetings

NH Agency may provide public or private scheduling tools through which you can request or reserve a meeting.

You are responsible for providing accurate booking information.

A booking may include your name, company, selected date and time, contact information, confirmation preference, and information about what you would like to discuss.

Available times shown through our booking system are subject to change until a reservation is successfully completed.

NH Agency may contact you if a meeting must be rescheduled or canceled due to circumstances affecting availability.

Scheduling an introductory or discovery call does not, by itself, create a paid agency engagement or guarantee that NH Agency will accept a project.

A formal service relationship begins only when the parties reach the applicable agreement required for that engagement.

Rescheduling and Cancellations

Meeting rescheduling and cancellation options may vary depending on the type of meeting and the applicable client agreement.

Clients may request a change through available portal functionality or another communication method provided by NH Agency.

NH Agency may approve, decline, or propose an alternative time for a requested reschedule depending on availability and contractual commitments.

Any cancellation fees or special conditions relating to paid sessions or services will be disclosed through the applicable proposal, contract, invoice, booking condition, or other agreement where relevant.

Services and Scope

The precise services NH Agency provides to a client are determined by the applicable proposal, contract, statement of work, invoice, or other agreement accepted by the parties.

Unless expressly included in writing, a service, deliverable, advertising platform, integration, revision, production expense, subscription, third-party fee, advertising budget, or additional work should not be assumed to be included solely because NH Agency provides similar services to another client.

NH Agency may make reasonable changes to internal methods, tools, workflows, technologies, or processes used to deliver the agreed result, provided those changes do not materially reduce an expressly agreed deliverable.

Prices and Payment

Prices for NH Agency services may be displayed on the website, included in a proposal, quotation, invoice, contract, or otherwise communicated to the client.

The applicable price and payment schedule are the terms specifically accepted for the relevant engagement.

Unless expressly stated otherwise, advertising spend, paid media budgets, third-party subscriptions, domains, hosting, software subscriptions, production expenses, travel expenses, platform charges, and other third-party costs are not automatically included in NH Agency’s service fee.

Any applicable taxes, fees, or charges will be handled according to the applicable invoice, agreement, and law.

Where a payment is overdue, NH Agency may suspend affected services or access where permitted by the applicable agreement and law.

Advertising Budgets

When NH Agency manages paid advertising, amounts paid to advertising platforms such as Meta, Google, TikTok, or other advertising providers may be separate from NH Agency’s service fees unless expressly stated otherwise.

Advertising platforms control their own billing systems, approval processes, policies, auction environments, account restrictions, and delivery systems.

NH Agency cannot guarantee that a third-party advertising platform will approve a campaign, maintain an account, deliver a particular amount of traffic, or produce a particular advertising cost.

No Guaranteed Business Results

NH Agency provides professional marketing, creative, technical, strategic, and related services intended to improve a client’s marketing and digital operations.

However, many results depend on circumstances outside NH Agency’s control, including market conditions, pricing, offers, sales processes, competition, customer demand, platform algorithms, advertising auctions, budgets, client responsiveness, reputation, economic conditions, and third-party platform decisions.

Unless NH Agency expressly provides a written guarantee in a separate agreement, NH Agency does not guarantee a specific number of sales, customers, leads, followers, views, revenue, return on advertising spend, search ranking, conversion rate, or other commercial result.

This does not limit any obligation NH Agency expressly agrees to perform.

Client Responsibilities

Clients are responsible for providing reasonably accurate information and materials necessary for NH Agency to perform the agreed services.

Depending on the project, this may include timely access to brand assets, advertising accounts, social accounts, websites, domains, products, offers, pricing information, approvals, project feedback, legal disclosures, business information, or other resources.

Clients are responsible for confirming that materials, claims, products, offers, promotions, intellectual property, customer information, and other information supplied to NH Agency may lawfully be used for the intended purpose.

Delays in providing required information, approvals, access, or feedback may affect project timelines.

Advertising and Promotional Claims

Clients remain responsible for the accuracy and legality of factual claims concerning their own products, services, prices, guarantees, promotions, qualifications, results, and business practices.

NH Agency will not knowingly create deceptive advertising.

Panama’s consumer-protection rules apply to advertising and promotions communicated online, and ACODECO emphasizes that advertising must be clear, truthful, and consistent with what is actually offered.

Where a promotion includes special prices, discounts, dates, availability, restrictions, guarantees, or other material conditions, the client must provide NH Agency with accurate conditions so those conditions can be presented correctly.

Intellectual Property Owned by NH Agency

NH Agency retains ownership of its pre-existing intellectual property, methodologies, processes, systems, internal tools, reusable code, templates, know-how, concepts, frameworks, workflows, documentation, and other materials developed independently of a particular client project, unless otherwise agreed in writing.

A client’s rights to final project deliverables will be determined by the applicable client agreement.

Payment for a service does not automatically transfer ownership of NH Agency’s underlying systems, internal tools, reusable components, or pre-existing intellectual property unless expressly stated.

Client Materials

Clients retain their rights in logos, trademarks, photographs, videos, documents, business information, and other materials they lawfully provide to NH Agency.

By providing materials to NH Agency for a project, the client authorizes NH Agency to use, reproduce, adapt, edit, host, transmit, or otherwise process those materials to the extent reasonably necessary to perform the requested services.

The client represents that it has the rights and permissions necessary to provide those materials for the intended use.

Portfolio and Case Studies

NH Agency will not assume an unrestricted right to publicly disclose confidential client information.

Whether NH Agency may publicly display a client’s name, logo, website, creative work, campaign materials, results, testimonial, or project as part of a portfolio or case study may be governed by the applicable client agreement or separate permission.

Where confidentiality or another agreement prohibits disclosure, NH Agency will honor those applicable restrictions.

Third-Party Services

NH Agency’s Services may integrate with or depend on third-party products and platforms such as Framer, Supabase, Google, Meta, TikTok, domain providers, hosting providers, email providers, payment providers, analytics services, or other software and infrastructure providers.

Those services are operated independently and may change their functionality, pricing, policies, availability, APIs, or technical requirements.

NH Agency is not responsible for an outage, suspension, policy decision, security incident, account restriction, or other failure caused exclusively by an independent third-party provider, except to the extent applicable law or a separate agreement provides otherwise.

Availability of the Website and Portal

We aim to keep the NH Agency website and portal reasonably available, but continuous or uninterrupted access cannot be guaranteed.

Maintenance, software updates, infrastructure failures, internet problems, security incidents, third-party outages, or circumstances outside our reasonable control may temporarily affect availability.

NH Agency may modify, repair, update, or discontinue website functionality where reasonably necessary.

We will seek to avoid unnecessarily disrupting active client services.

Prohibited Uses

You may not use the NH Agency website, booking system, portal, or Services to engage in illegal, fraudulent, abusive, deceptive, or unauthorized activity.

You may not attempt to circumvent authentication, access another user’s account, interfere with security controls, scrape private information, introduce malicious software, probe the platform for unauthorized access, overload the Services, impersonate another person, submit intentionally false information, or use NH Agency systems to violate another person’s rights.

We may restrict or terminate access where we reasonably believe that an account presents a security threat, is being used unlawfully, or materially violates these Terms.

Privacy

Your use of the Services is also subject to our Privacy Policy, which explains how NH Agency collects, uses, shares, stores, and protects personal information.

Where required, separate consent may be requested for activities such as promotional marketing communications or push notifications.

Acceptance of these Terms does not automatically constitute consent to optional marketing.

Electronic Communications

By using our Services, you acknowledge that certain communications, records, agreements, notices, and confirmations may be delivered electronically.

These may include communications through email, the NH Agency portal, booking interfaces, electronic documents, or other digital channels.

Panama has a legal framework recognizing and regulating electronic documents, electronic signatures, and certain acts of commerce conducted through the internet.

This section does not eliminate any legal requirement for a particular document, signature method, notice, or formality where applicable law requires one.

Feedback

If you voluntarily provide suggestions, ideas, or general feedback concerning the NH Agency website or platform, NH Agency may use that feedback to improve its Services without creating an obligation to compensate you, provided we do not improperly use your confidential information or intellectual property.

Suspension or Termination of Accounts

NH Agency may suspend or terminate access to an account where reasonably necessary because of security concerns, fraud, unauthorized use, material breach of these Terms, expiration or termination of the underlying client relationship, legal requirements, or non-payment where suspension is permitted by the applicable agreement.

Where practical and appropriate, we may provide notice before termination.

Termination of portal access does not automatically eliminate obligations or rights that accrued under an existing client agreement.

Cancellation of Agency Services

Cancellation or termination of an active NH Agency engagement is governed primarily by the applicable contract, proposal, statement of work, invoice conditions, or other service agreement.

These general website Terms do not create a universal cancellation fee or universal “no refunds” policy.

Any refund, cancellation, credit, notice period, or termination obligation must be determined according to the applicable agreement and mandatory law.

Refunds

Refund eligibility depends on the specific transaction, service, work already performed, expenses incurred, applicable contract, and mandatory consumer-protection requirements.

NH Agency will not use these Terms to remove any refund, warranty, cancellation, or consumer right that cannot legally be waived.

Where a project-specific refund or cancellation policy applies, it will be disclosed in the applicable agreement or transaction terms.

Disclaimer

The NH Agency website and general informational content are provided for business and informational purposes.

Unless specifically agreed in writing, general content on the website does not constitute legal, accounting, tax, financial, investment, or other regulated professional advice.

Clients should obtain appropriate independent professional advice where their project requires it.

Limitation of Liability

To the maximum extent permitted by applicable law, NH Agency will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising solely from use of the website or Services where such liability may lawfully be excluded.

Any limitation of liability relating to a paid client engagement may also be governed by the applicable written agreement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including mandatory consumer protections where they apply.

Indemnification

To the extent permitted by applicable law and any applicable client agreement, a user or client may be responsible for losses or claims arising from materials, instructions, conduct, or representations they provide to NH Agency where those materials or instructions unlawfully infringe another person’s rights or violate applicable law.

This provision does not require a consumer to waive rights or assume liability that cannot lawfully be imposed.

Changes to the Services

NH Agency may improve, update, add, remove, or modify website and portal functionality over time.

We may also change technology providers, interfaces, workflows, or technical infrastructure.

Where a change materially affects an expressly agreed paid service, the applicable client agreement will determine the parties’ rights and obligations.

Changes to These Terms

NH Agency may update these Terms to reflect changes to our Services, business practices, technology, or legal obligations.

The Last Updated date at the beginning of these Terms indicates the latest revision.

If a material update legally requires additional notice or renewed agreement, we will provide that notice or request before the updated terms become binding to the extent required by applicable law.

For registered users, NH Agency may maintain records of the version of these Terms accepted by the user.

Governing Law

These Terms are governed by the laws of the Republic of Panama, without prejudice to mandatory rights or protections that may apply to an individual under the laws of another jurisdiction.

Nothing in these Terms is intended to remove consumer, privacy, or other rights that applicable law does not permit parties to waive by contract.

Disputes

If a disagreement arises regarding the website or Services, we encourage you to contact NH Agency first so the parties can attempt to resolve the matter directly.

Where a dispute cannot be resolved informally, it may be submitted to the competent courts or authorities in the Republic of Panama, unless a different forum is required by mandatory law or agreed in a separate valid contract.

Consumers may also retain rights to submit complaints to competent consumer-protection authorities where applicable.

In Panama, ACODECO enforces consumer-protection rules, including rules applicable to online advertising and offers.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary where legally possible, and the remaining provisions will continue in effect.

No Waiver

If NH Agency does not immediately enforce a provision of these Terms, that does not necessarily mean we have permanently waived the right to enforce that provision later.

Entire Agreement for Website Use

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies expressly incorporated by reference, constitute the general agreement governing use of the NH Agency website and platform.

For paid agency services, these Terms operate together with the applicable proposal, contract, statement of work, invoice, or other project-specific agreement.
